Introduction

These Terms and Conditions (`Terms`) govern the provision of services including but not limited to Web Development, Mobile App Development, Digital Marketing, and SEO by Webnatrix Technologies (`Company`, `We`, `Our`, `Us`) and the client (`You`, `Your`). By engaging our services, you agree to be bound by these Terms.

2.1 Scope of Services: We agree to provide the services as described in the Service Agreement or Statement of Work signed by both parties.

2.2 Modifications: Any changes or modifications to the scope of services must be agreed upon in writing by both parties.

3. Payment Terms

3.1 Fees: You agree to pay the fees for our services as outlined in the Service Agreement or Statement of Work.

3.2 Payment Schedule: Payments must be made according to the schedule specified in the Service Agreement or as otherwise agreed upon in writing.

3.3 Late Payments: Late payments may be subject to interest or other penalties as described in the Service Agreement.

4. Intellectual Property Rights

4.1 Ownership:Unless otherwise specified, we retain ownership of all intellectual property rights related to our services and materials. Any intellectual property provided by you remains your property.

4.2 License:We grant you a non-exclusive, non-transferable license to use the deliverables provided under our services as described in the Service Agreement.

5. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or confidential information shared during the engagement, in accordance with the Confidentiality Agreement, if applicable.

6. Warranties and Limitation of Liability

6.1 Warranties:We warrant that our services will be provided in a professional manner, consistent with industry standards.

6.2 Limitation of Liability:Our liability for any claim arising out of our services shall be limited to the amount paid for the services that gave rise to the claim. We shall not be liable for any indirect, special, or consequential damages.

7. Termination

Either party may terminate the agreement as described in the Service Agreement, subject to any applicable termination fees or penalties.

8. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of Goa, India. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Goa,India.

9. Entire Agreement

These Terms, together with any Service Agreement, Statement of Work, or other related documents, constitute the entire agreement between the parties.
